2. Acceptance of Terms

By accessing or using Remindful, you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, please do not use the Service. These Terms constitute a legally binding agreement between you and VIBECODE MOM AI DEVELOPING SERVICES, governed by the laws of the United Arab Emirates and the Emirate of Dubai.

3. Description of Service

Remindful is a personal content management application that allows users to save, organize, and retrieve various types of digital content including links, notes, media files, voice notes, PDFs, locations, and more. The Service includes AI-powered features for content analysis, summarization, key point extraction, voice note transcription, smart labeling, semantic search, and periodic review generation.

4. User Accounts

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service, or at least 13 years old with verifiable parental or guardian consent, in compliance with UAE Federal Decree-Law No. (45) of 2021 on the Protection of Personal Data (PDPL).
  • One person may not maintain more than one account.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately if you suspect unauthorized access to your account.

5. User Content

  • Ownership: You retain full ownership of all content you save to the Service, including links, text, media, voice notes, locations, and files.
  • License: By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, reproduce, display, and process your content solely for the purpose of providing and improving the Service. This includes generating AI summaries, key points, transcriptions, reviews, smart labels, managing your reminders, and enabling search functionality.
  • Responsibility: You are solely responsible for the content you save and must not upload illegal, harmful, defamatory, or infringing material. Content that violates UAE laws, including Federal Decree-Law No. (34) of 2021 on Combatting Rumours and Cybercrimes, is strictly prohibited.
  • Removal: We reserve the right to remove content that violates these Terms or UAE law without prior notice.
  • Shared Content: When you share collections with others, those users will have access to the content within the shared collection based on the permission level you grant (view, edit, or collaborate).

6. Subscription Plans & Payment

The Service offers the following plans:

  • Free: USD 0 (AED 0) — up to 300 items, 5 collections, 10 AI summaries/month, 2 AI reviews/month, ~500 MB storage.
  • Pro: USD 7.00/month or USD 70.00/year (approximately AED 25.70/month or AED 257.00/year) — unlimited items & collections, 100 AI summaries/month, 8 AI reviews/month, voice transcription, semantic search, up to 5 shared collections, ~10 GB storage.
  • Companion: USD 12.00/month or USD 99.00/year (approximately AED 44.07/month or AED 363.58/year) — everything in Pro plus 300 AI summaries/month, unlimited AI reviews, unlimited shared collections, voice reflections, decision support, ~20 GB storage, priority processing.

AED equivalents are approximate and based on the prevailing exchange rate. All transactions are processed in USD.

Payment terms:

  • Subscription payments are processed securely by Stripe, Inc. By purchasing a subscription, you agree to Stripe's Terms of Service.
  • Paid subscriptions are billed monthly or annually as selected at the time of purchase.
  • You may cancel your subscription at any time. Access to paid features continues until the end of the current billing period.
  • We reserve the right to change pricing with 30 days' prior notice. Price changes will not affect your current billing period.

7. Refund, Cancellation & Consumer Rights

In accordance with UAE Federal Decree-Law No. (15) of 2020 on Consumer Protection and its implementing regulations:

  • Cancellation: You may cancel your subscription at any time from within the app or by contacting us. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time within a billing cycle.
  • Refunds: You may request a full refund within 14 days of your initial subscription purchase or renewal if you have not substantially used the paid features during that period. Refund requests are evaluated on a case-by-case basis.
  • How to Request: Contact us at vibecodemom@gmail.com with your account email and reason for refund. We will respond within 14 business days.
  • Automatic Renewal: Subscriptions renew automatically. You will receive a reminder notification at least 7 days before renewal. You may turn off auto-renewal at any time.

8. AI Features & Third-Party Processing

The Service offers AI-powered features including content summarization, key point extraction, voice note transcription, smart labeling, semantic search, and periodic insight reviews.

  • When you use AI features, certain user content may be sent to third-party AI providers for processing. These providers may include services from Google, OpenAI, and Anthropic.
  • AI-generated content (summaries, reviews, insights, transcriptions, labels) is provided for informational purposes only. We do not guarantee its accuracy, completeness, or reliability.
  • AI features are subject to usage limits based on your subscription plan.
  • You should not rely solely on AI-generated content for critical decisions.
  • AI processing is performed in accordance with our data protection obligations under UAE PDPL.

9. Third-Party Services

The Service utilizes various third-party services essential to its operation:

  • Base44: Backend infrastructure for data storage, user authentication, and core application services.
  • Stripe: Secure payment processing for subscription plans.
  • AI Providers: Third-party AI models for content analysis, summarization, transcription, and other AI features.
  • Google Calendar: Optional calendar synchronization for reminders.

Your use of the Service may be subject to the terms and privacy policies of these third-party services. We are not responsible for the practices of these third parties but require them to handle your data securely and in compliance with applicable data protection laws.

10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable UAE laws or international laws.
  • Attempt to gain unauthorized access to the Service, its systems, or other users' accounts.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use automated means (bots, scrapers, etc.) to access the Service without permission.
  • Upload malicious software, viruses, or harmful content.
  • Use the Service to harass, abuse, or harm other users.
  • Attempt to circumvent usage limits or subscription restrictions.
  • Reproduce, distribute, or create derivative works from the Service without authorization.
  • Save, upload, or distribute content that violates UAE public order, morality, or applicable cybercrime regulations.

11. Intellectual Property

The Service, including its design, branding, features, and underlying technology, is the intellectual property of VIBECODE MOM AI DEVELOPING SERVICES. You may not copy, modify, distribute, or reverse-engineer any part of the Service. Your use of the Service does not grant you any intellectual property rights in the Service itself. Intellectual property rights are protected under UAE Federal Law No. (38) of 2021 on Copyrights and Related Rights.

12. Limitation of Liability

To the maximum extent permitted by UAE law:

  • VIBECODE MOM AI DEVELOPING SERVICES shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service, including loss of data, loss of profits, or business interruption.
  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not guarantee uninterrupted or error-free operation of the Service.
  • Our total aggregate liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
  • Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under UAE law.

13. Termination

  • We may suspend or terminate your access to the Service at any time for violation of these Terms, with or without notice.
  • You may delete your account at any time through the app's Profile settings.
  • Upon termination, your right to use the Service ceases immediately.
  • You may request export of your data prior to account deletion.
  • We will delete your personal data within 30 days of account deletion, except where retention is required by UAE law.

14. Indemnification

You agree to indemnify and hold harmless VIBECODE MOM AI DEVELOPING SERVICES, its owner, officers, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

15. Modifications

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree with the changes, you must stop using the Service.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai.

  • Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation within 30 days.
  • If negotiation fails, either party may file a complaint with the Dubai Department of Economy and Tourism (DET) Consumer Protection Division.
  • If the dispute remains unresolved, it shall be submitted to the exclusive jurisdiction of the competent courts of Dubai, United Arab Emirates.
  • UAE consumers may also file complaints through the Dubai Consumer mobile application or by calling 600 545555.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid under UAE law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Electronic Transactions

These Terms are entered into electronically in compliance with UAE Federal Decree-Law No. (46) of 2021 on Electronic Transactions and Trust Services. By using the Service, you consent to receiving all communications, agreements, and notices electronically.
